MINUTES OF THE PREVIOUS MEETING - ACTION Motion 6-1-82 On motion by Marven K. Eggert and duly seconded by Gordon Sandison, it was moved that the minutes of the meeting of May 6, 1982, be approved with the following amendment: Page 5, Item 4, BOOKSTORE REPORT, last paragraph, should read, "The Board of Trustees will be asked to approve review any further contracts, including but not imited to construction contracts, related to this project." The motion carried unanimously. 2. BUSINESS AND FINANCIAL AFFAIRS - ACTION A. TIAA Rule Change for Early Retirement Motion On motion by Marven K. Eggert and duly seconded by Jerrold 6-2-82 W. Manley, it was moved that the Board of Trustees of Western Washington University, upon the recommendation of the administration, moves approval of the new Section 10, "Special Early Retirement" and the modification of Section 6.41, "Reemployemnt of Retirees" in the Western Washington University Faculty and Administrative Exempt Retirement Rules and Regulations. ----------xxxxx---------- Board of Trustees Minutes - June 1982 - Page 3 ----------xxxxx---------- 2315 June 3,1982 The motion carried unanimously. Vice President Don Cole reported that the passage of Second Substitute House Bill 124 of the 1982 Legislative Session provides an early retirement option for employees of the State of Washington. This option is available through November 30, 1982, with retirement no later than January 1, 1983. The classified staff and a good number of Western's exempt staff are under the Publ ic Employees Retirement Systems (PERS) or Washington State Teachers' Retirement Systems (TRS). The Department of Retirement Systems in Olympia will handle all requests for early retirement for members of these two systems. The vast majority of Western's faculty and some exempt staff are under the TIAA/CREF retirement system. The Board of Trustees of Western Washington University developed, maintain and modify the Western Washington University Faculty and Administrative Exempt Retirement Rules and Regulations. Therefore, it is necessary that these rules and regulations be amended to include a section that deals specifically with the early retirement provisions legislated in the 1982 session. The following, therefore, should be added to the Western Washington University Faculty and Administrative Exempt Retirement Rules and Regulations. (new) "Section 10 - Special Early Retirement " As authorized by Second Substitute House Bill 124, 1982 legislative session, and participant, upon written notice to Western Washington University by November 30, 1982, shall be eligible to elect special early retirement to become effective no later than January 1, 1983. IIA participant shall be eligible who: a) has attained the age of 55 years, with at least ten years of full-time service, or b) has at least 25 years of full-time service without regard to Sections 5.44 and 6.1. The benefits of this Special Early Retirement shall be determined by Sections 3.0 and 5.0 of these rules without reduction on account of age as required by Section 5.44." In order to define incomes that are included in Section 6.41 when retired faculty or exempt staff are re-hired, it is desirable that the following paragraph be added to Section 6.41, which is stated as: "6.41 A retiree reemployed by the university for less than 40 percent of full-time, or less than 70 hours per month, or for less than five consecutive months, shall be eligible to receive retirement income under the provisions of the Retirement System. Retirement contributions will not be made from salary for such employment. (new) "Incomes included in the determination of less than 40 percent of full-time, or less than 70 hours per month, or for less than five consecutive months will be calculated only on salaries on which TIAA/CREF premiums are deducted. 11 B. Appointment of Acting President and Delegation of Authority, Resolution 82-02 Motion On motion by Gordon Sandison and duly seconded by Marven K. 6-3-82 Eggert, it was moved that Resolution 82- 02, captioned, "A Resolution of the Board of Trustees of Western Washington University Appointing an Acting President and Delegating Authority." Olscamp effective August 31, 1982; and WHEREAS, the Board of Trustees desires that the powers and responsibilities of the President of Western Washington University be fully exercised prior to the effective date of President Olscamp's resignation and thereafter until a permanent successor to President Olscamp has taken office; now, therefore, BE IT RESOLVED by the Board of Trustees of Western Washington University that James L. Talbot is hereby appointed Acting President of Western Washington University effective July 1, 1982, to serve at the pleasure of the Board of Trustees, with full authority to execute the powers and responsibilities of that office as now or hereafter delegated, including but not I imited to, the appointing authority delegated pursuant to Resolutions 81-04 and 76-03. Staff Service Awards President Olscamp reported that in 1978 Western implemented a staff recognition program to honor employees with five years of more of service at the University. This year, 88 persons will receive awards for five to 35 years of service. Recipients of 10-year through 35-year awards will receive their pins at a reception in the Viking Union Lounge on Friday, June 4, 1982. This pay rate is effective for all of 1982-83, so the 1982-83 Salary Schedule is slightly higher. It is anticipated that this Faculty Salary Schedule will be approved by the Faculty Senate at its June 7, 1982, meeting. If there are any changes, the Schedule will come back to the Board for amended action. 5. ITEMS FROM THE BOARD A. Presidential Search Process Greg Sobel, President of the Associated Students Board, voiced concern that the Board of Trustees, in Executive Session, violated the Open Public Meetings Act by making decisions regarding the timeline, membership, charge and procedures to be used by the Presidential Search Committee. If the Board of Trustees has violated the law, then, according to Mr. Sobel, the decisions made by the Board of Trustees in Executive Session regarding the presidential search process are null and void. Mr. Sobel requested that the Board of Trustees suspend the activities of the Presidential Search Committee until an advertised, open meeting of the Board can be held to discuss all aspects of the presidential search process. ----------xxxxx---------- Board of Trustees Minutes - June 1982 - Page 8 ----------xxxxx---------- 2318 June 3, 1982 Chairman Dalrymple reported that the Board of Trustees' legal counsel advised the Board that their actions are not in violation of the law. Mr. Dalrymple suggested that, if the Associated Students Board wishes to pursue this matter, they seek appropriate legal remedies. B. Presidential Search Timeline Chairman Dalrymple reviewed the timeline and charge for the presidential search. The official charge of the Board of Trustees to the Presidential Search Committee is very broad and simply asks that between four and seven presidential candidates be brought to the Board by September 30, 1982, and that they not be ranked. During the summer, the Search Committee will review applications and files. Any meetings of the Search Committee may be open or closed, depending on the choice of the Search Committee. The current schedule is to have final presidential candidates on campus for interview during the month of October, so that the campus community can be involved in the process. There will be adequate opportunity for interested individuals and groups to meet and question candidates at advertised open meetings. The campus community is encouraged to respond in writing to the Board of Trustees with comments and suggestions regarding the presidential candidates and the future of the University. If this timeline can be met, the Board of Trustees would evaluate the final candidates during the month of November and make a final decision by December 1, 1982. 6. ITEMS FROM THE PRESIDENT A. Introduction of Faculty Senate Executives President Olscamp introduced Professor William (Skip) Sailors as the new President of the Faculty Senate for 1982-83, and Professor Mary Mcintyre as the Vice President. They are faculty members in the Department of Accounting and Department of Art, respectively. President Olscamp extended his welcome and congratulations. B. Formation of Faculty Dismissal Review Committee Motion On motion by Marven K. Eggert and duly seconded by Jerrold W. 6-5-82 Manley, it was moved that the Board of Trustees of Western Washington University approves the formation of the Faculty Dismissal Review Committee, recommended by the Faculty Senate to be comprised of Professors Marjorie Donker, William Summers and Philip Montague, for formally pursue the facts of a case of dismissal for cause of a Western Washington University faculty member. The motion carried unanimously. This action is concurrent with procedures of the American Association of University Professors, and the case will be discussed in Executive Session of the Meeting of the Board of Trustees. C. Western Washington University Faculty Club President Olscamp discussed the proposal to create a Faculty Club at Western Washington University, the location of which is planned for the first floor of Canada House. He said that Canada House, the former President's House and the social center of the campus, has never been identified as academic space. The Canadian/Canadian American Studies program, currently occupying offices on the second floor of the building, would not lose any space in Canada House as a result of converting part of the main floor for use as the Faculty Club. None of the social functions involving Canadian visitors and government officials would change. The Northwest Center archives, currently stored in the basement, will remain where they are. Other groups who have held receptions in Canada House, such as Women of Western, shall continue to use it. Visiting faculty associated with the Canadian/Canadian American Studies program would still have office space in Canada House. The Faculty Club, through its dues structure, would pay a pro-rated portion of all of the costs associated with the operating of Canada House, sufficient to cover their utilization of it. The Faculty Club was incorporated as a private organization on May 26, 1982, and the planning is still in its formative stages. When facts become known relative to renovation and costs, this information will be made available. The membership drive is continuing throughout the summer. 7. Manley for the position of Secretary of the Board of Trustees of Western Washington University, effective immediately, for a two-year term. The motion carried unanimously. These elections were held in accordance with the Western Washington University Board of Trustees' Handbook, Section 050 Officers (1) ruling. 10. EXECUTIVE SESSION At 2:40 p.m., Mr. Dalrymple announced that the meeting of the Board would recess into Executive Session to discuss personnel matters.
